Terms of Use – Workplace Analytics

These Dashboard Terms of Use (“Dashboard Terms”) govern your right to access and use the Dashboard that is an integral part of Service provided by Spaceti to the Client.

The term “you” in these Terms refers to you as the end-user that is accessing the Dashboard and using Service on behalf of an employer or other entity who concluded the contract with Spaceti (“Client”). The term “you” also refers to that employer or business entity – the Client.

Unless specifically implies from these Dashboard Terms, any and all definitions from the Terms of Use shall have the same meaning herein.

We have developed software and hardware in the Internet of Things to control equipment and to enable equipment to communicate with other equipment and with human beings via wireless data transmission technology and the internet, including the Dashboard.

To use the Dashboard and Service, you must accept these Dashboard Terms and Terms of Use. We reserve the right to change these Dashboard Terms by posting a new version without notice to you. Use of the Dashboard after such change constitutes your acceptance of such changes.

Acceptance of these Dashboard Terms

By acceptance of these Dashboard Terms you represent and warrant that you have full legal authority to act on behalf of your employer or such entity (the Client) in the scope necessary for use of the Dashboard and fulfil your obligations from these Dashboard Terms. Otherwise, you may not accept these Dashboard Terms or use the Dashboard.

By acceptance of these Dashboard Terms you also acknowledge that you have read the Terms of Use, Privacy Policy and Cookies Policy and agree to comply with it and not to act in any way that would result in a violation of the Privacy Policy and Cookies Policy or cause a breach or misuse of any data processed through the Dashboard.

We have the right to reject or revoke your acceptance of these Dashboard Terms, to cancel or terminate your account, and to suspend and/or terminate all rights to use and access the Dashboard, at our sole discretion, at any time, for any reason and without notification to you.

You represent and warrant that all of the information that you provide in connection with your account or pursuant to the Service is correct and current.

Dashboard

The Dashboard permits you to access certain data and reporting information with respect to the Service (“Dashboard”). All information contained on the Dashboard is strictly confidential. The Dashboard, data and reports that may be generated with the Dashboard, may be used only for your internal purposes. Use of Dashboard data through an AI Integration enabled and authorised in accordance with the section “Third-Party AI Assistant Integrations” below is an internal purpose.

Account

To use Dashboard, you need to have an account on our Website (“Account”). The Account will be created to you as a person in charge on the basis of the contract concluded between Spaceti and the Client. You are fully responsible for maintaining the confidentiality of your credentials. You are obliged to notify Spaceti immediately of any unauthorized use of your password or Account or any other breach of security.

Your Obligations

You agree to use the Dashboard only for purposes that are permitted by these Dashboard Terms and any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions, including but not limited to, any laws regarding the export of data or software to and from the Czech Republic or other relevant countries.

If the users provide you with user names, passwords, or other login information or personal information, you must make them aware that this information will be available to the Dashboard and you must provide a privacy notice and protection for those users that complies will all applicable laws and industry best practices.

If you store personal or sensitive information provided by users, you undertake to do it securely. You agree to indemnify, defend and hold Spaceti harmless from any failure to comply with your obligations in this paragraph and any violation of law or breach of data security by you or your agents.

Prohibited Uses

You may not use the Dashboard for any purpose not expressly permitted by these Dashboard Terms.

You shall not:

  1. permit any third party to access your Account;
  2. create derivate works based on the Dashboard or Service;
  3. copy, frame or mirror any part or content of the Dashboard, other than copying or framing for your own internal business purposes,
  4. access the Dashboard or the Service in order to:
    • a. build a competitive product or service, or
    • b. copy any features, functions or graphics of the Dashboard or Service.

You acknowledge and agree that any violation of these restrictions or obligations is deemed to be a material breach of these Dashboard Terms. If we discover any such violation, we reserve the right to immediately terminate your Account, temporarily or permanently.

Third-Party AI Assistant Integrations

For the purposes of this section, “Customer” means the Client, “Services” means the Service including the Dashboard, and “Customer Data” means data processed for the Client through the Service.

The Services may permit Customer or authorised Users to connect the Services to third-party artificial-intelligence assistants and other third-party applications through the Model Context Protocol (“MCP”) or similar integration technology (each an “AI Integration”).

Customer controls whether an AI Integration is enabled for its organisation and, where available, the roles or Users permitted to access it. Enabling an AI Integration constitutes Customer's instruction to Spaceti to process and transmit Customer Data to the connected application in response to requests initiated by authorised Users, subject to the permissions and configuration applicable to those Users in the Services. An AI Integration does not expand a User's underlying permission to access Customer Data.

Depending on Customer's configuration, information transmitted through an AI Integration may include workplace analytics, sensor and environmental data, booking information and Personal Data that the authorised User is permitted to access.

Unless expressly identified by Spaceti as a Sub-processor in Spaceti's Infrastructure and Sub-processor Documentation, a third-party AI assistant selected and connected by Customer or a User is a Non-Spaceti Application. Customer is responsible for determining whether its use of the Non-Spaceti Application is authorised, configuring access appropriately, providing any notices or instructions required for its Users, complying with applicable laws and the terms governing that Non-Spaceti Application, and ensuring that its instructions to Spaceti are lawful.

Spaceti will apply the access permissions and organisational restrictions configured in the Services when responding to requests from an AI Integration. Customer may disable an AI Integration in accordance with the controls made available in the Services.

Following transmission to a Non-Spaceti Application at Customer's or an authorised User's direction, processing by that application is governed by the terms, privacy arrangements and configuration applicable between Customer or the User and the provider of that application. Nothing in this provision limits any data-protection, security or international-transfer obligation directly applicable to Spaceti under the Agreement, DPA or applicable law.

Miscellaneous

These Dashboard Terms constitute the entire legal agreement between you and Spaceti and govern your use of the Dashboard described in these Dashboard Terms, excluding any Service that Spaceti may provide to you under a separate written agreement, and replace or supersede any prior or contemporaneous understandings, representations, discussions or understandings between you and Spaceti relating to the Dashboard.
